GENERAL TERMS AND CONDITIONS EN

I. Basic Provisions

These General Terms and Conditions (hereinafter referred to as the “Terms and Conditions”) are issued pursuant to Section 1751 et seq. of Act No. 89/2012 Coll., the Civil Code (hereinafter referred to as the “Civil Code”).

(Hereinafter referred to as the “Seller”)

These Terms and Conditions govern the mutual rights and obligations of the Seller and a natural person who concludes a Purchase Contract outside their business activity as a consumer or within their business activity (hereinafter referred to as the “Buyer”) through the web interface located on the website available at www.marekkrumpar.com (hereinafter referred to as the “Online Store”).

The provisions of the Terms and Conditions are an integral part of the Purchase Contract. Deviating provisions in the Purchase Contract take precedence over the provisions of these Terms and Conditions.

These Terms and Conditions and the Purchase Contract are made in Czech and English.

II.Information about Goods and Prices

Information about the goods, including the prices of the individual goods and their main features, are listed in the catalogue of the Online Store. The prices of the goods are inclusive of value added tax, any associated fees and the cost of returning the goods if they cannot, by their nature, be returned by the usual postal method. The prices of the goods remain valid for the time they are displayed in the Online Store. This provision does not preclude the negotiation of a Purchase Contract on individually agreed terms.

All presentation of goods placed in the catalogue of the Online Store is of an informative nature and the Seller is not obliged to conclude a Purchase Contract regarding these goods.

Information on the costs associated with the packaging and delivery of goods is provided in the Online Store.

Any discounts on the purchase price of the goods cannot be combined unless the Seller and the Buyer agree otherwise.

III. Placing Orders and Concluding a Purchase Contract

Costs incurred by the Buyer when using remote means of communication in connection with the conclusion of the Purchase Contract (costs of internet connection, costs of telephone calls) shall be borne by the Buyer. These costs do not differ from the standard rate.

The Buyer can place an order for goods as follows:

• via their customer account if they have made a registration in the Online Store;
• by filling in the order form without registering.

When placing an order, the Buyer selects the goods, the number of items, the method of payment and delivery.

Prior to sending the order, the Buyer can check and change the data entered in the order. The Buyer places the order with the Seller by clicking on the Order button. The information provided in the order is considered correct by the Seller. The validity of the order is subject to the completion of all mandatory data in the order form and the Buyer’s confirmation of having read these Terms and Conditions.

Immediately upon receiving the order, the Seller will send the Buyer a confirmation of receipt of the order to the e-mail address provided by the Buyer when placing the order. This confirmation is automatic and does not constitute a contract. The confirmation is accompanied by the valid Terms and Conditions of the Seller. The valid Terms and Conditions of the Seller are attached to the confirmation. Notification of order acceptance is delivered to the Buyer’s e-mail address.

In the event that any of the requirements specified in the order cannot be fulfilled, the Seller will send an updated offer to the Buyer’s e-mail address. The updated offer shall be considered a new draft of the Purchase Contract, and the Purchase Contract shall be concluded in such case by the Buyer’s confirmation of acceptance of this offer sent to the Seller’s e-mail address specified in these Terms and Conditions.

All orders accepted by the Seller are binding. The Buyer may cancel the order until the Buyer receives notification of acceptance of the order by the Seller. The Buyer may cancel the order via telephone or e-mail of the Seller specified in these Terms and Conditions.

In the event that there is an obvious technical error in the price of the goods in the Online Store or in the ordering process, the Seller shall not be obliged to deliver the goods to the Buyer for this obviously erroneous price even if the Buyer has been sent an automatic confirmation of receipt of the order according to these Terms and Conditions. The Seller shall inform the Buyer of the error without undue delay and send an updated offer to the Buyer’s e-mail address. The updated offer shall be considered a new draft of the Purchase Contract, and the Purchase Contract shall be concluded in such case by confirmation of acceptance by the Buyer sent to the Seller’s e-mail address.

IV. Customer Account

Based on the Buyer’s registration made in the Online Store, the Buyer can access their customer account. The Buyer can order goods from their customer account. The Buyer can also order goods without registration.

The Buyer is obliged to provide correct and truthful information when registering a customer account and ordering goods. The Buyer is obliged to update the data specified in the customer account in the event of any change. The data provided by the Buyer in the customer account and when ordering goods are considered correct by the Seller.

Access to the customer account is secured with a username and password. The Buyer is obliged to maintain the confidentiality of the information necessary to access their customer account. The Seller shall not be liable for any misuse of the customer account by third parties.

The Buyer is not entitled to allow third parties to use the customer account.

The Seller may delete the customer account, especially if the Buyer no longer uses their customer account or if the Buyer violates their obligations under the Purchase Contract or these Terms and Conditions.

The Buyer acknowledges that the customer account may not be available 24/7, especially with regard to the necessary maintenance of the Seller’s hardware and software, or the necessary maintenance of hardware and software of third parties.

V.Payment Terms and Delivery of Goods

The Buyer may pay the price of the goods and any costs associated with the delivery of the goods under the Purchase Contract in the following ways:

• by wire transfer to the Seller’s bank account No. 1391877030/3030 with Air Bank a.s.;
• by payment card to the Seller’s account via the Stripe payment gateway;

by payment card upon personal collection at the Zásilkovna pick-up point. Together with the purchase price, the Buyer is obliged to pay the Seller the costs associated with the packaging and delivery of the goods in the agreed amount. Unless expressly stated otherwise below, the purchase price also includes the costs associated with the delivery of the goods.

In case of cashless payment, the purchase price is payable within 5 days from the conclusion of the Purchase Contract.

In case of payment through a payment gateway, the Buyer shall follow the instructions of the relevant electronic payment provider.

In case of cashless payment, the Buyer’s obligation to pay the purchase price is fulfilled at the moment of crediting the relevant amount to the Seller’s bank account.

The Seller does not require any deposit or other similar payment from the Buyer in advance. Payment of the purchase price before dispatch of the goods is not a deposit.

Pursuant to the Act on Registration of Sales, the Seller is obliged to issue a receipt to the Buyer. Sales must be registered with the tax administrator online; in case of a technical failure, this must be done within 48 hours.

The goods are delivered to the Buyer:

• to the address specified by the Buyer in the order;
• to the parcel pick-up point’s address specified by the Buyer;
• by personal collection in Prague after prior telephone arrangement.

The delivery method is selected during the ordering process.

Depending on the method of dispatch and receipt of the goods, the cost of delivery is specified in the Buyer’s order and in the Seller’s order confirmation. If the delivery method is agreed on the basis of a special request of the Buyer, the Buyer bears the risk and any additional costs associated with this delivery method.

If, according to the Purchase Contract, the Seller is obliged to deliver the goods to the place specified by the Buyer in the order, the Buyer is obliged to collect the goods upon delivery. In the event that it is necessary to deliver the goods repeatedly for reasons on the part of the Buyer or in a different way than specified in the order, the Buyer is obliged to pay the costs associated with the repeated delivery of the goods, or the costs associated with a different delivery method.

Upon receipt of the goods from the carrier, the Buyer is obliged to check the integrity of the packaging of the goods and, in the event of any defects, immediately notify the carrier. In case the packaging is found to have been damaged, indicating that the parcel has been tampered with, the Buyer is not obliged to accept the parcel from the carrier.

The Seller shall issue a tax document (invoice) to the Buyer. The tax document is sent to the Buyer’s e-mail address.

The Buyer acquires ownership of the goods by paying the full purchase price for the goods including delivery costs, but not before collecting the goods.

Liability for accidental destruction, damage or loss of the goods passes to the Buyer at the moment of collection of the goods or at the moment when the Buyer was obliged to collect the goods but failed to do so in breach of the Purchase Contract.

VI. Withdrawal from the Contract

A Buyer who has entered into the Purchase Contract outside their business activity as a consumer has the right to withdraw from the Purchase Contract.

The withdrawal period is 14 days:

• from the day of collection of the goods;
• from the date of collection of the last delivery of the goods, if the subject of the Contract is several types of goods or the delivery of several parts;
• from the date of collection of the first delivery of the goods, if the subject of the Contract is regular repeated delivery of goods.

The Buyer may not, inter alia, withdraw from the Contract:

• for the provision of services if they have been performed with the Buyer’s prior express consent before the expiration of the withdrawal period and the Seller informed the Buyer, before the conclusion of the contract, that the Buyer shall thereby lose the right of withdrawal;
• for the supply of goods or services the price of which depends on financial market fluctuations which are beyond the control of the Seller and which may occur during the withdrawal period;
• for the supply of alcoholic beverages which can only be supplied after a period of thirty days and the price of which depends on financial market fluctuations which are beyond the control of the Seller;
• for the supply of goods which were customised or personalised;
• for the supply of perishable goods, as well as goods which were irreversibly mixed with other goods after supply;
• for the supply of sealed goods which were unsealed by the Buyer and which are not suitable for return due to hygiene reasons;
• for the supply of audio or video recordings or computer software the original seal of which was unsealed;
• for the supply of newspapers, periodicals or magazines;
• for the supply of digital content which is not supplied on a tangible medium if it was supplied with the prior express consent of the Buyer before the withdrawal period and the Seller informed the Buyer, before the conclusion of the contract, that the Buyer shall thereby lose the right of withdrawal;
• in other cases specified in Section 1837 of the Civil Code.

In order to comply with the withdrawal period, the Buyer is obliged to send the notice of withdrawal within the withdrawal period.

In order to withdraw from the Purchase Contract, the Buyer may use the sample withdrawal form provided by the Seller. The Buyer shall send the withdrawal from the Purchase Contract to the Seller’s e-mail or mailing address specified in these Terms and Conditions. The Seller shall promptly confirm receipt of the form to the Buyer.

The Buyer who has withdrawn from the Contract is obliged to return the goods to the Seller within 14 days of withdrawal from the Contract. The Buyer shall bear the costs associated with the return of the goods to the Seller, even if the goods cannot be returned by normal postal means due to their nature.

If the Buyer withdraws from the Contract, the Seller shall return all funds to the Buyer, including delivery costs, in the same way as received from the Buyer without delay, but no later than 14 days after withdrawal. The Seller may only return the received funds to the Buyer in another way if the Buyer agrees to this and if no additional costs are incurred.

If the Buyer has chosen a method of delivery other than the cheapest method of delivery offered by the Seller, the Seller shall reimburse the Buyer for the cost of delivery of the goods in the amount corresponding to the cheapest method of delivery offered.

If the Buyer withdraws from the Purchase Contract, the Seller shall not be obliged to return the received funds to the Buyer before the Buyer has handed over the goods to the Seller or proved that the goods have been sent to the Seller.

The Buyer must return the goods to the Seller undamaged, unworn and unstained and, if possible, in their original packaging. The Seller is entitled to unilaterally offset the claim for compensation for damage to the goods against the Buyer’s claim for reimbursement of the purchase price.

The Seller is entitled to withdraw from the Purchase Contract due to sold-out stocks, unavailability of the goods, or when the manufacturer, importer or supplier of the goods has discontinued the production or import of the goods. The Seller shall promptly inform the Buyer using the e-mail address specified in the order and shall return all funds, including delivery costs, in the same manner as received from the Buyer on the basis of the Purchase Contract or in the manner specified by the Buyer within 14 days of the notice of withdrawal from the Purchase Contract.

VII. Rights from Defective Performance

The Seller shall be liable to the Buyer that the goods are free from defects upon receipt. In particular, the Seller shall be liable to the Buyer that, at the time the Buyer received the goods:

• the goods have the characteristics agreed between the Parties and, in the absence of an agreement, have the characteristics described by the Seller or the manufacturer or expected by the Buyer in view of the nature of the goods and on the basis of the advertising by the Seller or the manufacturer;
• the goods are fit for the purpose as stated by the Seller or for the purpose for which goods of that kind are usually used;
• the goods correspond in quality or workmanship to the agreed sample or model, if the quality or workmanship was determined according to the agreed sample or model;
• the goods have the appropriate quantity, measure or weight; and
• the goods comply with the legal requirements.

The Seller shall have obligations arising from defective performance at least to the extent of a manufacturer’s obligations arising from defective performance. The Buyer shall otherwise be entitled to exercise the right to claim for defects that occur in consumer goods within twenty-four months of receipt.

If, in accordance with other legislation, the period for which the goods may be used is specified on the goods sold, on their packaging, in the instruction manual included with the goods or in the advertisement, the provisions on the guarantee of quality shall apply. By guaranteeing the quality, the Seller undertakes that the goods will be fit for their usual purpose or retain their usual characteristics for a certain period of time. If the Buyer has rightfully complained to the Seller about the defect in the goods, the period for exercising rights under the defective performance and the warranty period shall not apply for the period during which the Buyer cannot use the defective goods.

The provisions referred to in the preceding paragraph of the Terms and Conditions shall not apply to a defect in goods sold at a lower price for which the lower price was agreed, to wear and tear of the goods caused by their normal use, to a defect in second-hand goods corresponding to the degree of use or wear and tear that the goods had when acquired by the Buyer, or if this results from the nature of the goods. The Buyer is not entitled to the right from defective performance if the Buyer knew the goods were defective before the Buyer received the goods or if the defect was caused by the Buyer.

In the event of a defect, the Buyer may lodge a complaint with the Seller and demand:

• exchange for new goods;
• repair of the goods;
• a reasonable discount on the purchase price;
• withdrawal from the Contract.

The Buyer has the right to withdraw from the Contract:

• if the goods have a material defect;
• if the item cannot be used properly due to the recurrence of the defect(s) after repair;
• in case of a large number of defects in the goods.

A material breach shall mean a breach of the Contract of which the breaching Party knew at the time of the conclusion of the Contract, or must have known that the other Party would not have concluded the Contract if the breach had been foreseen.

In the case of a defect that constitutes an insignificant breach of the Contract (irrespective of whether the defect is removable or irremovable), the Buyer is entitled to have the defect removed or to a reasonable discount on the purchase price.

If a repairable defect has occurred repeatedly after repair (usually the third complaint regarding the same defect or the fourth complaint regarding a different defect) or the goods have a greater number of defects (usually at least three defects at the same time), the Buyer has the right to claim a discount on the purchase price, to have the goods exchanged or to withdraw from the Contract.

When lodging a complaint, the Buyer is obliged to inform the Seller which right has been chosen. Changing the choice without the Seller’s consent is only possible if the Buyer has requested the repair of a defect that proves to be irremovable. If the Buyer fails to exercise their right from a material breach of the Contract in time, they have the same rights as in the case of a non-material breach of the Contract.

If repair or replacement of the goods is not possible, the Buyer may demand a full refund of the purchase price upon withdrawal from the Contract.

If the Seller proves that the Buyer knew about the defect of the goods before receiving the goods or that the defect was caused by the Buyer, the Seller is not obliged to admit the Buyer’s complaint.

The Buyer cannot complain about discounted goods on the grounds for which the goods are discounted.

The Seller is obliged to accept the complaint at any business premises where it is possible to accept the complaint, or even at the registered office or place of business. The Seller is obliged to issue the Buyer with a written confirmation of when the Buyer exercised the right, what is the content of the complaint and what method of complaint settlement the Buyer requires, as well as a confirmation of the date and method of complaint settlement, including confirmation of the repair and its duration, or a written reason for rejecting the complaint.

The Seller or an employee authorised by the Seller shall decide on the complaint immediately or, in complex cases, within three working days. This period does not include the reasonable time required for a professional assessment of the defect according to the type of product or service. The complaint, including the removal of the defect, must be settled without delay, no later than 30 days from the date of the complaint, unless the Seller and the Buyer agree on a longer period. The expiry of this period without fulfilment is considered a material breach of the Contract and the Buyer has the right to withdraw from the Purchase Contract. The moment of lodging a complaint is considered to be the moment when the Buyer’s intention (exercising the right from defective performance) is communicated to the Seller.

The Seller shall inform the Buyer of the result of the complaint in writing.

The Buyer is not entitled to the right from defective performance if the Buyer knew the item was defective before the Buyer received the item or if the defect was caused by the Buyer.

In the case of a legitimate complaint, the Buyer is entitled to compensation for the costs incurred in connection with the complaint. The Buyer may exercise this right with the Seller within one month after the expiry of the warranty period, otherwise the court may not grant it.

The choice of how to the complaint is settled is up to the Buyer.

The rights and obligations of the Parties with regard to rights arising from defective performance are governed by Sections 1914 to 1925, 2099 to 2117 and 2161 to 2174 of the Civil Code and Act No. 634/1992 Coll., on Consumer Protection.

VIII. Communication

The Parties may deliver all written correspondence to each other by electronic mail.

The Buyer shall deliver correspondence to the Seller’s e-mail address specified in these Terms and Conditions. The Seller shall deliver correspondence to the Buyer’s e-mail address specified in the customer account or in the order.

IX. Personal Data

All information provided by the Buyer in cooperating with the Seller is confidential and shall be handled as such. Unless the Buyer gives the Seller written permission, the Seller shall not use the Buyer’s data in any way other than for the purpose of performing the Contract, with the exception of the e-mail address where commercial messages may be sent, as this procedure is permitted by law, unless expressly refused. Such messages may only relate to similar or related goods and can be unsubscribed at any time in a simple way (by sending a letter, e-mail or by clicking on a link in the commercial message). The e-mail address will be stored for this purpose for a period of 3 years from the conclusion of the last Contract between the Parties.

X. Alternative Dispute Resolution

The Czech Trade Inspection Authority, with its registered office at Štěpánská 567/15, 120 00 Praha 2, RN: 000 20 869, website: https://adr.coi.cz/cs, is competent for out-of-court settlement of consumer disputes arising from the Purchase Contract. The online dispute resolution platform available at http://ec.europa.eu/consumers/odr can be used to resolve disputes between the Seller and the Buyer arising from the Purchase Contract.

The European Consumer Centre Czech Republic, with its registered office at Štěpánská 567/15, 120 00 Praha 2, website: http://www.evropskyspotrebitel.cz, is the contact point under Regulation (EU) No 524/2013 of the European Parliament and of the Council of 21 May 2013 on online dispute resolution for consumer disputes and amending Regulation (EC) No 2006/2004 and Directive 2009/22/EC (Regulation on consumer ODR).

The Seller is authorised to sell goods on the basis of a trade certificate. Trade inspection is carried out by the competent Trade Licensing Office. To a limited extent, the Czech Trade Inspection Authority supervises, among other things, compliance with Act No. 634/1992 Coll., on Consumer Protection.

XI. Final Provisions

All agreements between the Seller and the Buyer shall be governed by the laws of the Czech Republic. If the relationship established by the Purchase Agreement contains an international element, the Parties agree that the relationship shall be governed by the law of the Czech Republic. This is without prejudice to the consumer’s rights under generally binding legislation.

The Seller is not bound by any codes of conduct in relation to the Buyer within the meaning of Section 1826(1)(e) of the Civil Code.

All rights to the Seller’s website, in particular the copyright to the content, including page layout, photos, films, graphics, trademarks, logos and other content and features, belong to the Seller. It is prohibited to copy, modify or otherwise use the website or any part thereof without the consent of the Seller.

The Seller shall not be liable for errors resulting from third party interference with the Online Store or its use contrary to its intended use. When using the Online Store, the Buyer may not use any procedures that could have a negative impact on its operation and may not perform any activity that could allow the Buyer or third parties to interfere with or make unauthorised use of the software or other components of the Online Store and use the Online Store or its parts or software in a manner that would be contrary to its purpose.

The Buyer hereby assumes the risk of a change in circumstances within the meaning of Section 1765(2) of the Civil Code.

The Purchase Contract, including the Terms and Conditions, is archived by the Seller in electronic form and is not accessible.

The Seller may amend or supplement these Terms and Conditions. This provision is without prejudice to the rights and obligations arising during the period of validity of the previous version of the Terms and Conditions.

A sample withdrawal form is attached to the Terms and Conditions.

These Terms and Conditions take effect on 1 January 2023.

Tyto všeobecné obchodní podmínky (dále jen „obchodní podmínky“) jsou vydané dle § 1751 a násl. zákona č. 89/2012 Sb., občanský zákoník (dále jen „občanský zákoník“)

Tyto obchodní podmínky upravují vzájemná práva a povinnosti prodávajícího a fyzické osoby, která uzavírá kupní smlouvu mimo svou podnikatelskou činnost jako spotřebitel, nebo v rámci své podnikatelské činnosti (dále jen: „kupující“) prostřednictvím webového rozhraní umístěného na webové stránce dostupné na internetové adrese www.marekkrumpar.com (dále jen „internetový obchod“).

Ustanovení obchodních podmínek jsou nedílnou součástí kupní smlouvy. Odchylná ujednání v kupní smlouvě mají přednost před ustanoveními těchto obchodních podmínek.

Tyto obchodní podmínky a kupní smlouva se uzavírají v českém jazyce a anglickém jazyce.

 

II. Informace o zboží a cenách

Informace o zboží, včetně uvedení cen jednotlivého zboží a jeho hlavních vlastností, jsou uvedeny u jednotlivého zboží v katalogu internetového obchodu. Ceny zboží jsou uvedeny včetně daně z přidané hodnoty, všech souvisejících poplatků a nákladů za vrácení zboží, jestliže toto zboží ze své podstaty nemůže být vráceno obvyklou poštovní cestou. Ceny zboží zůstávají v platnosti po dobu, po kterou jsou zobrazovány v internetovém obchodě. Toto ustanovení nevylučuje sjednání kupní smlouvy za individuálně sjednaných podmínek.

Veškerá prezentace zboží umístěná v katalogu internetového obchodu je informativního charakteru a prodávající není povinen uzavřít kupní smlouvu ohledně tohoto zboží.

V internetovém obchodě jsou zveřejněny informace o nákladech spojených s balením a dodáním zboží.      

Případné slevy z kupní ceny zboží nelze navzájem kombinovat, nedohodne-li se prodávající s kupujícím jinak.

 

III. Objednávka a uzavření kupní smlouvy

Náklady vzniklé kupujícímu při použití komunikačních prostředků na dálku v souvislosti s uzavřením kupní smlouvy (náklady na internetové připojení, náklady na telefonní hovory), hradí kupující sám. Tyto náklady se neliší od základní sazby.

Kupující provádí objednávku zboží těmito způsoby:

• prostřednictvím svého zákaznického účtu, provedl-li předchozí registraci v internetovém obchodě,
• vyplněním objednávkového formuláře bez registrace.

Při zadávání objednávky si kupující vybere zboží, počet kusů zboží, způsob platby a doručení.

Před odesláním objednávky je kupujícímu umožněno kontrolovat a měnit údaje, které do objednávky vložil. Objednávku kupující odešle prodávajícímu kliknutím na tlačítko Odeslat objednávku. Údaje uvedené v objednávce jsou prodávajícím považovány za správné. Podmínkou platnosti objednávky je vyplnění všech povinných údajů v objednávkovém formuláři a potvrzení kupujícího o tom, že se s těmito obchodními podmínkami seznámil.

Neprodleně po obdržení objednávky zašle prodávající kupujícímu potvrzení o obdržení objednávky na emailovou adresu, kterou kupující při objednání zadal. Toto potvrzení je automatické a nepovažuje se za uzavření smlouvy. Přílohou potvrzení jsou aktuální obchodní podmínky prodávajícího. Kupní smlouva je uzavřena až po přijetí objednávky prodávajícím. Oznámení o přijetí objednávky je doručeno na emailovou adresu kupujícího.

V případě, že některý z požadavků uvedených v objednávce nemůže prodávající splnit, zašle kupujícímu na jeho e-mailovou adresu pozměněnou nabídku. Pozměněná nabídka se považuje za nový návrh kupní smlouvy a kupní smlouva je v takovém případě uzavřena potvrzením kupujícího o přijetí této nabídky prodávajícímu na jeho e-mailovou adresu uvedenou v těchto obchodních podmínkách.

Všechny objednávky přijaté prodávajícím jsou závazné. Kupující může zrušit objednávku, dokud není kupujícímu doručeno oznámení o přijetí objednávky prodávajícím. Kupující může zrušit objednávku telefonicky na telefonní číslo nebo e-mail prodávajícího uvedený v těchto obchodních podmínkách.

V případě, že došlo ke zjevné technické chybě na straně prodávajícího při uvedení ceny zboží v internetovém obchodě, nebo v průběhu objednávání, není prodávající povinen dodat kupujícímu zboží za tuto zcela zjevně chybnou cenu ani v případě, že kupujícímu bylo zasláno automatické potvrzení o obdržení objednávky podle těchto obchodních podmínek. Prodávající informuje kupujícího o chybě bez zbytečného odkladu a zašle kupujícímu na jeho emailovou adresu pozměněnou nabídku. Pozměněná nabídka se považuje za nový návrh kupní smlouvy a kupní smlouva je v takovém případě uzavřena potvrzením o přijetí kupujícím na emailovou adresu prodávajícího. 

IV. Zákaznický účet

Na základě registrace kupujícího provedené v internetovém obchodě může kupující přistupovat do svého zákaznického účtu. Ze svého zákaznického účtu může kupující provádět objednávání zboží. Kupující může objednávat zboží také bez registrace.

Při registraci do zákaznického účtu a při objednávání zboží je kupující povinen uvádět správně a pravdivě všechny údaje. Údaje uvedené v uživatelském účtu je kupující při jakékoliv jejich změně povinen aktualizovat. Údaje uvedené kupujícím v zákaznickém účtu a při objednávání zboží jsou prodávajícím považovány za správné.

Přístup k zákaznickému účtu je zabezpečen uživatelským jménem a heslem. Kupující je povinen zachovávat mlčenlivost ohledně informací nezbytných k přístupu do jeho zákaznického účtu. Prodávající nenese odpovědnost za případné zneužití zákaznického účtu třetími osobami.

Kupující není oprávněn umožnit využívání zákaznického účtu třetím osobám.

Prodávající může zrušit uživatelský účet, a to zejména v případě, když kupující svůj uživatelský účet déle nevyužívá, či v případě, kdy kupující poruší své povinnosti z kupní smlouvy nebo těchto obchodních podmínek.

Kupující bere na vědomí, že uživatelský účet nemusí být dostupný nepřetržitě, a to zejména s ohledem na nutnou údržbu hardwarového a softwarového vybavení prodávajícího, popř. nutnou údržbu hardwarového a softwarového vybavení třetích osob.

 

V. Platební podmínky a dodání zboží

Cenu zboží a případné náklady spojené s dodáním zboží dle kupní smlouvy může kupující uhradit následujícími způsoby:

• bezhotovostně převodem na bankovní účet prodávajícího č. 1391877030/3030, vedený u Air Bank a.s.,
• bezhotovostně platební kartou na účet prodávajícího prostřednictvím platební brány Stripe

platební kartou při osobním odběru výdejně zásilek společností Zásilkovna. Společně s kupní cenou je kupující povinen uhradit prodávajícímu náklady spojené s balením a dodáním zboží ve smluvené výši. Není-li dále uvedeno výslovně jinak, rozumí se dále kupní cenou i náklady spojené s dodáním zboží.

V případě bezhotovostní platby je kupní cena splatná do 5 dnů od uzavření kupní smlouvy.

V případě platby prostřednictvím platební brány postupuje kupující podle pokynů příslušného poskytovatele elektronických plateb.

V případě bezhotovostní platby je závazek kupujícího uhradit kupní cenu splněn okamžikem připsání příslušné částky na bankovní účet prodávajícího.

Prodávající nepožaduje od kupujícího předem žádnou zálohu či jinou obdobnou platbu. Úhrada kupní ceny před odesláním zboží není zálohou.

Podle zákona o evidenci tržeb je prodávající povinen vystavit kupujícímu účtenku. Zároveň je povinen zaevidovat přijatou tržbu u správce daně online, v případě technického výpadku pak nejpozději do 48 hodin

Zboží je kupujícímu dodáno:

• na adresu určenou kupujícím objednávce
• prostřednictvím výdejny zásilek na adresu výdejny, kterou kupující určil,
• osobním odběrem v Praze po předchozí telefonické domluvě

Volba způsobu dodání se provádí během objednávání zboží.

Náklady na dodání zboží v závislosti na způsobu odeslání a převzetí zboží jsou uvedeny v objednávce kupujícího a v potvrzení objednávky prodávajícím. V případě, že je způsob dopravy smluven na základě zvláštního požadavku kupujícího, nese kupující riziko a případné dodatečné náklady spojené s tímto způsobem dopravy.

Je-li prodávající podle kupní smlouvy povinen dodat zboží na místo určené kupujícím v objednávce, je kupující povinen převzít zboží při dodání. V případě, že je z důvodů na straně kupujícího nutno zboží doručovat opakovaně nebo jiným způsobem, než bylo uvedeno v objednávce, je kupující povinen uhradit náklady spojené s opakovaným doručováním zboží, resp. náklady spojené s jiným způsobem doručení.

Při převzetí zboží od přepravce je kupující povinen zkontrolovat neporušenost obalů zboží a v případě jakýchkoliv závad toto neprodleně oznámit přepravci. V případě shledání porušení obalu svědčícího o neoprávněném vniknutí do zásilky nemusí kupující zásilku od přepravce převzít.

Prodávající vystaví kupujícímu daňový doklad – fakturu. Daňový doklad je odeslán na e-mailovou adresu kupujícího.

Kupující nabývá vlastnické právo ke zboží zaplacením celé kupní ceny za zboží včetně nákladů na dodání, nejdříve však převzetím zboží.

Odpovědnost za nahodilou zkázu, poškození či ztrátu zboží přechází na kupujícího okamžikem převzetí zboží nebo okamžikem, kdy měl kupující povinnost zboží převzít, ale v rozporu s kupní smlouvou tak neučinil.

 

VI. Odstoupení od smlouvy

Kupující, který uzavřel kupní smlouvu mimo svou podnikatelskou činnost jako spotřebitel, má právo od kupní smlouvy odstoupit.

Lhůta pro odstoupení od smlouvy činí 14 dnů

• ode dne převzetí zboží,
• ode dne převzetí poslední dodávky zboží, je-li předmětem smlouvy několik druhů zboží nebo dodání několika částí,
• ode dne převzetí první dodávky zboží, je-li předmětem smlouvy pravidelná opakovaná dodávka zboží.

Kupující nemůže mimo jiné odstoupit od kupní smlouvy

• poskytování služeb, jestliže byly splněny s jeho předchozím výslovným souhlasem před uplynutím lhůty pro odstoupení od smlouvy a prodávající před uzavřením smlouvy sdělil kupujícímu, že v takovém případě nemá právo na odstoupení od smlouvy,
• o dodávce zboží nebo služby, jejichž cena závisí na výchylkách finančního trhu nezávisle na vůli prodávajícího a k němuž může dojít během lhůty pro odstoupení od smlouvy,
• o dodání alkoholických nápojů, jež mohou být dodány až po uplynutí třiceti dnů a jejichž cena závisí na výchylkách finančního trhu nezávislých na vůli prodávajícího,
• o dodávce zboží, které bylo upraveno podle přání kupujícího nebo pro jeho osobu,
• dodávce zboží, které podléhá rychlé zkáze, jakož i zboží, které bylo po dodání nenávratně smíseno s jiným zbožím,
• dodávce zboží v uzavřeném obalu, které kupující z obalu vyňal a z hygienických důvodů jej není možné vrátit,
• dodávce zvukové nebo obrazové nahrávky nebo počítačového programu, pokud porušil jejich původní obal,
• dodávce novin, periodik nebo časopisů,
• dodání digitálního obsahu, pokud nebyl dodán na hmotném nosiči a byl dodán s předchozím výslovným souhlasem kupujícího před uplynutím lhůty pro odstoupení od smlouvy a prodávající před uzavřením smlouvy sdělil kupujícímu, že v takovém případě nemá právo na odstoupení od smlouvy,
• v dalších případech uvedených v § 1837 občanského zákoníku.

Pro dodržení lhůty pro odstoupení od smlouvy musí kupující odeslat prohlášení o odstoupení ve lhůtě pro odstoupení od smlouvy.

Pro odstoupení od kupní smlouvy může kupující využít vzorový formulář k odstoupení od smlouvy poskytovaný prodávajícím. Odstoupení od kupní smlouvy zašle kupující na emailovou nebo doručovací adresu prodávajícího uvedenou v těchto obchodních podmínkách. Prodávající potvrdí kupujícímu bezodkladně přijetí formuláře.

Kupující, který odstoupil od smlouvy, je povinen vrátit prodávajícímu zboží do 14 dnů od odstoupení od smlouvy prodávajícímu. Kupující nese náklady spojené s navrácením zboží prodávajícímu, a to i v tom případě, kdy zboží nemůže být vráceno pro svou povahu obvyklou poštovní cestou.

Odstoupí-li kupující od smlouvy, vrátí mu prodávající bezodkladně, nejpozději však do 14 dnů od odstoupení od smlouvy, všechny peněžní prostředky včetně nákladů na dodání, které od něho přijal, a to stejným způsobem. Prodávající vrátí kupujícímu přijaté peněžní prostředky jiným způsobem jen tehdy, pokud s tím kupující souhlasí a pokud mu tím nevzniknou další náklady.

Jestliže kupující zvolil jiný než nejlevnější způsob dodání zboží, který prodávající nabízí, vrátí prodávající kupujícímu náklady na dodání zboží ve výši odpovídající nejlevnějšímu nabízenému způsobu dodání zboží.

Odstoupí-li kupující od kupní smlouvy, není prodávající povinen vrátit přijaté peněžní prostředky kupujícímu dříve, než mu kupující zboží předá nebo prokáže, že zboží prodávajícímu odeslal.

Zboží musí vrátit kupující prodávajícímu nepoškozené, neopotřebené a neznečištěné a je-li to možné, v původním obalu. Nárok na náhradu škody vzniklé na zboží je prodávající oprávněn jednostranně započíst proti nároku kupujícího na vrácení kupní ceny.

Prodávající je oprávněn odstoupit od kupní smlouvy z důvodu vyprodání zásob, nedostupnosti zboží, anebo když výrobce, dovozce anebo dodavatel zboží přerušil výrobu nebo dovoz zboží. Prodávající bezodkladně informuje kupujícího prostřednictví emailové adresy uvedené v objednávce a vrátí ve lhůtě 14 dnů od oznámení o odstoupení od kupní smlouvy všechny peněžní prostředky včetně nákladů na dodání, které od něho na základě smlouvy přijal, a to stejným způsobem, popřípadě způsobem určeným kupujícím.

VII. Práva z vadného plnění

Prodávající zodpovídá kupujícímu, že zboží při převzetí nemá vady. Zejména prodávající odpovídá kupujícímu, že v době, kdy kupující zboží převzal

• má zboží vlastnosti, které si strany ujednaly, a chybí-li ujednání, má takové vlastnosti, které prodávající nebo výrobce popsal nebo které kupující očekával s ohledem na povahu zboží a na základě reklamy jimi prováděné,
• se zboží hodí k účelu, který pro jeho použití prodávající uvádí nebo ke kterému se zbož í tohoto druhu obvykle používá,
• zboží odpovídá jakostí nebo provedením smluvenému vzorku nebo předloze, byla-li jakost nebo provedení určeno podle smluveného vzorku nebo předlohy,
• je zboží v odpovídajícím množství, míře nebo hmotnosti a
• zboží vyhovuje požadavkům právních předpisů.

Povinnosti z vadného plnění má prodávající nejméně v takovém rozsahu, v jakém trvají povinnosti z vadného plnění výrobce. Kupující je jinak oprávněn uplatnit právo z vady, která se vyskytne u spotřebního zboží v době dvaceti čtyř měsíců od převzetí.

Je-li na prodávaném zboží, na jeho obalu, v návodu připojenému ke zboží nebo v reklamě v souladu s jinými právními předpisy uvedena doba, po kterou lze zboží použít, použijí se ustanovení o záruce za jakost. Zárukou za jakost se prodávající zavazuje, že zboží bude po určitou dobu způsobilé k použití pro obvyklý účel nebo že si zachová obvyklé vlastnosti. Vytkl-li kupující prodávajícímu vadu zboží oprávněně, neběží lhůta pro uplatnění práv z vadného plnění ani záruční doba po dobu, po kterou nemůže kupující vadné zboží užívat.

Ustanovení uvedená v předchozím odstavci obchodních podmínek se nepoužijí u zboží prodávaného za nižší cenu na vadu, pro kterou byla nižší cena ujednána, na opotřebení zboží způsobené jeho obvyklým užíváním, u použitého zboží na vadu odpovídající míře používání nebo opotřebení, kterou zboží mělo při převzetí kupujícím, nebo vyplývá-li to z povahy zboží. Právo z vadného plnění kupujícímu nenáleží, pokud před převzetím zboží věděl, že zboží má vadu, anebo pokud vadu sám kupující způsobil.

V případě výskytu vady může kupující prodávajícímu předložit reklamaci a požadovat

• výměnu za nové zboží,
• opravu zboží,
• přiměřenou slevu z kupní ceny,
• odstoupení od smlouvy.

Kupující má právo odstoupit od smlouvy,

• pokud má zboží podstatnou vadu,
• pokud nemůže věc řádně užívat pro opakovaný výskyt vady nebo vad po opravě,
• při větším počtu vad zboží.

Podstatné je takové porušení smlouvy, o němž strana porušující smlouvu již při uzavření smlouvy věděla nebo musela vědět, že by druhá strana smlouvu neuzavřela, pokud by toto porušení předvídala.

U vady, která znamená nepodstatné porušení smlouvy (bez ohledu na to, jde-li o vadu odstranitelnou či neodstranitelnou), má kupující nárok na odstranění vady nebo přiměřenou slevu z kupní ceny.

Vyskytla-li se odstranitelná vada po opravě opakovaně (obvykle třetí reklamace pro stejnou závadu nebo čtvrtá pro odlišné závady) nebo má zboží větší počet vad (zpravidla nejméně tři vady současně), má kupující právo uplatnit požadavek na slevu z kupní ceny, výměnu zboží nebo odstoupit od smlouvy.

Při uplatnění reklamace je kupující povinen prodávajícímu sdělit, jaké právo si zvolil. Změna volby bez souhlasu prodávajícího je možná jen tehdy, žádal-li kupující opravu vady, která se ukáže být neodstranitelná. Nezvolí-li kupující si své právo z podstatného porušení smlouvy včas, má práva stejná jako při nepodstatném porušení smlouvy.

Není-li oprava nebo výměna zboží možná, na základě odstoupení od smlouvy může kupující požadovat vrácení kupní ceny v plné výši.

Pokud prodávající prokáže, že kupující před převzetím o vadě zboží věděl nebo ji sám způsobil, není prodávající povinen nároku kupujícího vyhovět.

Kupující nemůže reklamovat zlevněné zboží z důvodu, pro který je dané zboží zlevněno.

Prodávající je povinen přijmout reklamaci v kterékoli provozovně, v níž je přijetí reklamace možné, případně i v sídle nebo místě podnikání. Prodávající je povinen kupujícímu vydat písemné potvrzení o tom, kdy kupující právo uplatnil, co je obsahem reklamace a jaký způsob vyřízení reklamace kupující požaduje, jakož i potvrzení o datu a způsobu vyřízení reklamace, včetně potvrzení o provedení opravy a době jejího trvání, případně písemné odůvodnění zamítnutí reklamace.

Prodávající nebo jím pověřený pracovník rozhodne o reklamaci ihned, ve složitých případech do tří pracovních dnů. Do této lhůty se nezapočítává doba přiměřená podle druhu výrobku či služby potřebná k odbornému posouzení vady. Reklamace včetně odstranění vady musí být vyřízena bezodkladně, nejpozději do 30 dnů ode dne uplatnění reklamace, pokud se prodávající s kupujícím nedohodne na delší lhůtě. Marné uplynutí této lhůty se považuje za podstatné porušení smlouvy a kupující má právo od kupní smlouvy odstoupit. Za okamžik uplatnění reklamace se považuje okamžik, kdy dojde projev vůle kupujícího (uplatnění práva z vadného plnění) prodávajícímu.

Prodávající písemně informuje kupujícího o výsledku reklamace.

Právo z vadného plnění kupujícímu nenáleží, pokud kupující před převzetím věci věděl, že věc má vadu, anebo pokud kupující vadu sám způsobil.

V případě oprávněné reklamace má kupující právo na náhradu účelně vynaložených nákladů vzniklých v souvislosti s uplatněním reklamace. Toto právo může kupující u prodávajícího uplatnit ve lhůtě do jednoho měsíce po uplynutí záruční doby, v opačném případě ho soud nemusí přiznat.

Volbu způsobu reklamace má kupující.

Práva a povinnosti smluvních stran ohledně práv z vadného plnění se řídí § 1914 až 1925, § 2099 až 2117 a § 2161 až 2174 občanského zákoníku a zákonem č. 634/1992 Sb., o ochraně spotřebitele.

 

VIII. Doručování

Smluvní strany si mohou veškerou písemnou korespondenci vzájemně doručovat prostřednictvím elektronické pošty.

Kupující doručuje prodávajícímu korespondenci na e-mailovou adresu uvedenou v těchto obchodních podmínkách. Prodávající doručuje kupujícímu korespondenci na e-mailovou adresu uvedenou v jeho zákaznickém účtu nebo v objednávce.

 

IX. Osobní údaje

Všechny informace, které kupující při spolupráci s prodávajícím uvede, jsou důvěrné a bude s nimi tak zacházeno. Pokud kupující nedá prodávajícímu písemné svolení, údaje o kupujícím nebude prodávající jiným způsobem než za účelem plnění ze smlouvy používat, vyjma e-mailové adresy, na kterou mohou být zasílána obchodní sdělení, neboť tento postup umožňuje zákon, pokud není vysloveně odmítnut. Tato sdělení se mohou týkat pouze obdobného nebo souvisejícího zboží a lze je kdykoliv jednoduchým způsobem (zasláním dopisu, e-mailu nebo proklikem na odkaz v obchodním sdělení) odhlásit. E-mailová adresa bude za tímto účelem uchovávána po dobu 3 let od uzavření poslední smlouvy mezi smluvními stranami.

X. Mimosoudní řešení sporů

K mimosoudnímu řešení spotřebitelských sporů z kupní smlouvy je příslušná Česká obchodní inspekce se sídlem Štěpánská 567/15, 120 00 Praha 2, IČ: 000 20 869, internetová adresa: https://adr.coi.cz/cs. Platformu pro řešení sporů on-line nacházející se na internetové adrese http://ec.europa.eu/consumers/odr je možné využít při řešení sporů mezi prodávajícím a kupujícím z kupní smlouvy.

Evropské spotřebitelské centrum Česká republika se sídlem Štěpánská 567/15, 120 00 Praha 2, internetová adresa: http://www.evropskyspotrebitel.cz je kontaktním místem podle Nařízení Evropského parlamentu a Rady (EU) č. 524/2013 ze dne 21. května 2013 o řešení spotřebitelských sporů on-line a o změně nařízení (ES) č. 2006/2004 a směrnice 2009/22/ES (nařízení o řešení spotřebitelských sporů on-line).

Prodávající je oprávněn k prodeji zboží na základě živnostenského oprávnění. Živnostenskou kontrolu provádí v rámci své působnosti příslušný živnostenský úřad. Česká obchodní inspekce vykonává ve vymezeném rozsahu mimo jiné dozor nad dodržováním zákona č. 634/1992 Sb., o ochraně spotřebitele.

 

XI. Závěrečná ustanovení

Veškerá ujednání mezi prodávajícím a kupujícím se řídí právním řádem České republiky. Pokud vztah založený kupní smlouvou obsahuje mezinárodní prvek, pak strany sjednávají, že vztah se řídí právem České republiky. Tímto nejsou dotčena práva spotřebitele vyplývající z obecně závazných právních předpisů.

Prodávající není ve vztahu ke kupujícímu vázán žádnými kodexy chování ve smyslu ustanovení § 1826 odst. 1 písm. e) občanského zákoníku.

Všechna práva k webovým stránkám prodávajícího, zejména autorská práva k obsahu, včetně rozvržení stránky, fotek, filmů, grafik, ochranných známek, loga a dalšího obsahu a prvků, náleží prodávajícímu. Je zakázáno kopírovat, upravovat nebo jinak používat webové stránky nebo jejich část bez souhlasu prodávajícího.

Prodávající nenese odpovědnost za chyby vzniklé v důsledku zásahů třetích osob do internetového obchodu nebo v důsledku jeho užití v rozporu s jeho určením. Kupující nesmí při využívání internetového obchodu používat postupy, které by mohly mít negativní vliv na jeho provoz a nesmí vykonávat žádnou činnost, která by mohla jemu nebo třetím osobám umožnit neoprávněně zasahovat či neoprávněně užít programové vybavení nebo další součásti tvořící internetový obchod a užívat internetový obchod nebo jeho části či softwarové vybavení takovým způsobem, který by byl v rozporu s jeho určením či účelem.

Kupující tímto přebírá na sebe nebezpečí změny okolností ve smyslu § 1765 odst. 2 občanského zákoníku.

Kupní smlouva včetně obchodních podmínek je archivována prodávajícím v elektronické podobě a není přístupná.

Znění obchodních podmínek může prodávající měnit či doplňovat. Tímto ustanovením nejsou dotčena práva a povinnosti vzniklé po dobu účinnosti předchozího znění obchodních podmínek.

Přílohou obchodních podmínek je vzorový formulář pro odstoupení od smlouvy.

Tyto obchodní podmínky nabývají účinnosti dnem 1.1.2023
